Emmanuel C. Paras
Emmanuel C. Paras headed the firm’s Corporate Services department until 2014.
Mr. Paras was selected by the International Who’s Who Legal Series published by Law Business Research Limited as one of the leading lawyers in real estate law.
He has been cited in top legal rankings by the Asia Pacific Legal 500 and Chamber Asia Pacific.Mr. Paras has solid experience in real estate, mergers and acquisitions, securities regulation, foreign investments, joint ventures, corporate restructuring and reorganization, and commercial law.
He acts as Corporate Secretary in many listed companies and acts as director and legal consultant in many corporations and provides general housekeeping and assistance on a wide range of commercial transactions. His clients include SM Investments Corporation, a leading holding company in the Philippines and SM Prime Holdings, Inc., the top real estate developer and retail operator in the Philippines.
In 2012, he acted as Philippine counsel to the sale of land and improvements located in the Light Industry and Science Park, Laguna by an affiliate of a Japanese company to an affiliate of a multinational product manufacturer.
He also acted as counsel to a regional headquarters in the Philippines in its acquisition of the entire 34th floor at the Enterprise Center Building in Makati City containing an area of 1,238.39 square meters.Mr. Paras has written and lectured on his fields of expertise. He co-authored Corporate Law Practice and Litigation: Annotations on the Corporate Code of Philippines and the Revised Securities Act (1994) and has contributed articles on investment, real estate and commercial law.
He wrote an article called Corporate Governance in a Philippine Setting on September 2002 for the International Financial Law Review. In October 2002, he lectured in Seattle, U.S.A. on Business and Economic Prospects in the Philippines. He is a regular contributor to the World Bank study on business regulations, doing business, insolvency and rehabilitation proceedings.Mr. Paras graduated from the Ateneo de Manila University Law School and was admitted to the Philippine Bar in 1977. He obtained a Bachelor of Arts degree in Economics and a Bachelor of Science degree in Accounting from De La Salle University.
He is a licensed real estate appraiser, lecturer and reviewer in real estate brokers examinations, and provides advice on all matters involving real property acquisitions and development.
He is a special lecturer on corporate practice at the Ateneo de Manila University Law School.
He is a member of the Chamber of Real Estate and Builder’s Association, Inc., the Philippine Association of Realty Appraisers, Inc., the Legal Management Council of the Philippines and the Philippine Bar Association.
