Marcella Maria L. Karaan
Marcella Maria L. Karaan is a member of the Firm’s Banking, Finance & Securities and Special Projects departments.
Ms. Karaan has assisted in the financing of various projects such as the acquisition and construction of telecommunication towers, the operation of renewable energy projects, and the construction and operation of an airport. She has also assisted in various M&A transactions such as the acquisition of shares by a conglomerate in a listed renewable energy company. She has also facilitated the contractor’s license application of a foreign contractor for commuter railway projects. She has assisted in the merger notification filing of the acquisition by an independent tower company of the assets of a leading telecommunication provider.
Ms. Karaan has conducted legal due diligence and assisted in advising corporations on corporate acquisitions, restructuring, and other commercial transactions. She has also advised foreign companies regarding their Philippine investments and assisted them in setting up local branches and subsidiaries. She has also researched on the regulatory framework of various industries, such as construction, aviation, banking, payment services, and renewable energy.
She also handles corporate housekeeping for various companies and serves as assistant corporate secretary to several real estate companies.
