SyCipLaw participates in the 2017 Best Friends Competition Academy

SyCipLaw partners Arlene M. Maneja and Franco Aristotle G. Larcina, together with senior associates John Paul V. De Leon and Leah C. Abutan, joined about 41 lawyers from 16 law firms belonging to the Best Friends Group, including Slaughter & May, De Brauw Blackstone Westbroek, Gilbert + Tobin, Anderson Mori & Tomotsune, Mori Hamada & Matsumoto and Allen & Gledhill, during the 2017 Best Friends Competition Academy hosted by the law firm of JunHe in Beijing, China.
The Competition Academy consisted of two elements: (i) the participative element, where lawyers joined in group exercises designed to train analytical and presentation skills using a case study involving a dawn raid of a company alleged to have abused its dominant position; and (ii) the instructional element, where experts from around the world discussed their experiences on specific subjects, including developments in cartel investigations and merger control, dawn raids, gun-jumping issues, matters relating to intellectual property vis-à-vis abuse of dominance. The Competition Academy also included social events aimed at building stronger ties and increasing opportunities for future collaboration.
Considering the recent enactment of the Philippine Competition Act in 2015, Mr. Larcina discussed an overview of the mandatory merger control regime for covered mergers and acquisitions under this new law. Ms. Maneja, on the other hand, discussed the Philippine merger control regime during the pre-Competition Academy event hosted by JunHe for its clients.
Since the start of the enforcement of the merger control regime in the Philippines, SyCipLaw has been actively representing clients before the Philippine Competition Commission to seek clearance for covered transactions. In fact, SyCipLaw acted for Sanofi in relation to its acquisition of the consumer health care business of Boehringer Ingelheim, which received the 1st merger clearance under the implementing rules and regulations of the Philippine Competition Act.
SyCipLaw has also been helping clients establish compliance programs that are tailor-made to their unique circumstances, including developing a formal “competition compliance policy,” conducting an audit of existing business arrangements and agreements and training officers and employees to deal with competition-related issues that may affect their businesses, including preparing for and reacting to investigations and requests for information.
SyCipLaw’s participation in the Competition Academy is part of the firm’s ongoing activities to build capacity and strengthen competence in dealing with competition-related matters.
Arlene M. Maneja specializes in investments, public-private partnerships (PPPs), infrastructure, power, renewable energy and competition law. She regularly advises clients regarding competition law compliance and is extensively involved in merger clearance filings with the Philippine Competition Commission.
Franco Aristotle G. Larcina specializes in investments and M&As, particularly in industries with FDI and nationality restrictions and in listed and public corporations. His other work focus is arbitration and dispute resolution for commercial transactions. He has expertise in merger and competition law, securities regulations, and telecommunications, media, and technology.
John Paul V. De Leon’s areas of practice include real estate development, infrastructure, mergers and acquisitions, finance and securities, and investments in highly regulated areas. He advises advertising, media, technology and business process outsourcing companies on IT laws (with particular focus on internet regulation and data privacy), consumer protection, censorship and content regulation.
Leah C. Abutan’s areas of practice include investments, mergers and acquisitions, corporate services and business transactions, securities and construction and infrastructure. She has participated in a number of projects involving acquisition of interests in various industries. She is also a Certified Public Accountant.
